Introduction

Welcome to The Seed Scout, LLC (“The Seed Scout”). By accessing our website, agreeing to be a potential donor, or using our services, you agree to be bound by the following terms and conditions. If you do not agree with any part of these terms, you must not use our services.

Eligibility To use our services, you must be at least 18 years of age and have the legal capacity to enter into binding contracts. By using The Seed Scout, you represent and warrant that you meet these eligibility requirements.
Services Provided The Seed Scout acts as an agency to connect known sperm donors with individuals or couples seeking to conceive. We do not provide medical, legal, or counseling services. Our role is strictly limited to facilitating connections.
User Responsibilities Users of The Seed Scout must:
• Provide accurate, current, and complete information about themselves as prompted by our registration and information gathering process.
• Agree to undergo any required medical screening or legal processes necessary for sperm donation.
• Comply with all applicable laws and regulations, including those relating to reproductive technologies and donor conception.

Donor Privacy

The Seed Scout shall make available to prospective parents certain information regarding its donors. Prospective parents shall hold all donor information in the highest confidence and use said information strictly for the purpose of making a donor selection. Prospective parents shall not publicly disseminate donor information, including, but not limited to, posting of photographs or other information on social media websites, without the express written consent of The Seed Scout.

Prospective parent agrees that they will not, directly or indirectly, through any third party including social media, make any attempt to identify or contact a donor unless and until an introductory email has been sent to prospective parent and that donor by the Seed Scout. Prospective parents agree that they will not, directly or indirectly, through any third party including social media, make any attempt to identify or contact a donor’s family, unless that contact is directly facilitated by donor. Prospective parent acknowledges that they has no right to learn the identity of a donor or contact a donor or donor’s family and that The Seed Scout will not disclose any identifying information without the donor’s express permission. The initial donor contact must be facilitated by The Seed Scout.

Client Privacy

The Company may make available to prospective donors certain information regarding its clients. Prospective donors shall hold all client information in the highest confidence and shall not publicly disseminate client information, including, but not limited to, posting of photographs or other information on social media websites, without the express written consent of the Company.

Intellectual Property

All content on The Seed Scout, including text, graphics, logos, and images, is our property or the property of our licensors and is protected by copyright and other intellectual property laws.

Disclaimer of Warranties

The Seed Scout is provided on an "as is" and "as available" basis. We make no representations or warranties of any kind, express or implied, as to the operation of our service or the information, content, materials, or products included on our service.

Limitation of Liability

The Seed Scout, its directors, employees, partners, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the service, any interactions with other users of the service, or unauthorized access to or use of our secure servers and/or any personal information stored therein.

Indemnification

You agree to indemnify and hold harmless The Seed Scout and its affiliates, officers, agents, employees, and partners from any claim or demand, including reasonable attorney’s fees, made by any third party due to or arising out of your use of the service, your violation of these terms, or your violation of any rights of another.

Termination

We may terminate or suspend your account and terminate the service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

Governing Law

These terms shall be governed and construed in accordance with the laws of Virginia, without regard to its conflict of law provisions.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
